By accessing or using the Folderio website and services (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.
2. 'AS IS' and 'AS AVAILABLE' Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
Folderio EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that:
- The Service will function uninterrupted, secure, or available at any particular time or location.
- Any errors or defects will be corrected.
- The results of using the Service will meet your requirements.
3. Limitation of Liability
You expressly understand and agree that Folderio shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from:
- The use or the inability to use the Service.
- Data loss or corruption of files. You are solely responsible for backing up your data before using our Bulk Renamer or Folder Generator tools.
- Unauthorized access to or alteration of your transmissions or data.
4. Third-Party AI Services
Our "Smart Rename" and "Verify Structure" features utilize third-party artificial intelligence services (including but not limited to OpenAI and Cloudflare Workers AI).
Availability: We cannot guarantee the availability or uptime of these third-party AI services. Features relying on AI may be temporarily unavailable without notice.
Accuracy: AI-generated suggestions are probabilistic and may contain errors. You are responsible for verifying all AI-generated file names and folder structures before applying them.
5. Governing Law & Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
